GOVACHA TERMS & CONDITIONS

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you
(“User,” “you,” or “your”) and Govacha (“Govacha,” “we,” “us,” or “our”) governing your
access to and use of the Govacha website, software platform, applications, community features,
content, and related services (collectively, the “Service”).
By accessing the Service, creating an account, registering for training, joining the community, or
purchasing a subscription, you acknowledge that you have read, understood, and agree to be
bound by these Terms.
If you do not agree to these Terms, you may not access or use the Service.
1. Description of the Service
Govacha is a software-as-a-service (SaaS) platform and private membership community designed
to support individuals and businesses engaged in government contracting. The Service may
include, without limitation:
- Educational content, training materials, and digital resources
- Community features, messaging, and collaboration tools
- Project management, task tracking, and internal notifications
- Event scheduling, reminders, and operational alerts
- Platform updates and service communications
Govacha provides tools, education, and infrastructure only. Govacha does not act as a broker,
agent, legal advisor, financial advisor, or government representative.
2. Eligibility and Authority
By using the Service, you represent and warrant that:
- You are at least eighteen (18) years of age
- You have the legal capacity and authority to enter into this agreement
- If using the Service on behalf of a business entity, you are authorized to bind that entity
- You will use the Service solely for lawful business purposes
Govacha reserves the right to refuse access to any user at its sole discretion.
3. Account Registration and Responsibilities
To access certain features of the Service, you must create an account.
You agree to:
- Provide accurate, current, and complete registration information
- Maintain and promptly update your information as needed
- Maintain the confidentiality of your login credentials
- Accept responsibility for all activity conducted through your account
You are solely responsible for any actions taken under your account, whether authorized or
unauthorized. Govacha is not responsible for losses arising from compromised credentials due to
your failure to maintain security.
4. License Grant and Use Restrictions
Subject to compliance with these Terms, Govacha grants you a limited, revocable, non-exclusive,
non-transferable license to access and use the Service solely for your internal business purposes.
You expressly agree not to:
- Copy, reproduce, distribute, sell, resell, or sublicense the Service
- Reverse engineer, decompile, or attempt to extract source code
- Circumvent security features or access controls
- Use the Service to transmit spam, malware, or unlawful content
- Use the Service in a manner that interferes with platform integrity
All rights not expressly granted are reserved by Govacha.
5. Subscriptions, Fees, and Billing
Certain portions of the Service require payment of subscription fees.
By purchasing a subscription, you acknowledge and agree that:
- Fees are billed in advance on a recurring basis unless otherwise stated
- Subscription fees are non-refundable, except where required by law
- Failure to process payment may result in suspension or termination
- You remain responsible for all charges incurred prior to cancellation
Govacha reserves the right to modify pricing, plans, or features with reasonable notice.
6. Community Participation and Conduct
The Service includes private community features and user interaction. You agree to conduct
yourself professionally and lawfully. You may not:
- Post or transmit false, misleading, abusive, defamatory, or illegal content
- Harass, threaten, intimidate, or exploit other users
- Impersonate others or misrepresent affiliations
- Use the community for unsolicited promotions or solicitation
Govacha reserves the right to moderate, remove content, restrict access, or terminate accounts to
protect the community and platform.
7. Educational Nature of Content; No Guarantees
All content, training, templates, guidance, and tools provided by Govacha are educational and
informational only.
You expressly acknowledge and agree that:
- Govacha does not guarantee contract awards, revenue, profits, or outcomes
- Government contracting results depend on external factors beyond Govacha’s control
- You are solely responsible for decisions, submissions, and actions you take
Govacha makes no representations regarding success, eligibility, or approval of any government
opportunity.
8. Notifications, Emails, and Platform Communications
As part of service delivery, Govacha may send system-generated communications, including:
- Transactional emails
- Account and security notifications
- Project, task, and deadline alerts
- Community announcements and training reminders
- Daily, weekly, or monthly activity digests
Users may manage notification preferences through account settings. Certain transactional
communications are mandatory for service operation.
9. Intellectual Property Rights
All intellectual property associated with the Service—including software, content, trademarks,
branding, and design—is owned by Govacha or its licensors.
User-generated content remains your property; however, you grant Govacha a worldwide,
royalty-free license to host, display, and use such content solely for operation of the Service.
10. Third-Party Services and Integrations
The Service may integrate with or rely on third-party providers. Govacha is not responsible for
third-party service interruptions, failures, or external platform terms.
11. Suspension and Termination
Govacha may suspend or terminate your account if you violate these Terms, engage in harmful
conduct, fail to meet payment obligations, or use the Service unlawfully.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy or reliability of content
13. Limitation of Liability
Govacha’s total liability shall not exceed the total fees paid by you in the twelve (12) months
preceding the claim.
14. Indemnification
You agree to indemnify and hold harmless Govacha from claims arising from your use of the
Service, violation of these Terms, or content.
15. Governing Law and Venue
These Terms are governed by the laws of the State of Texas. All disputes shall be resolved
exclusively in Texas courts.
16. Changes to These Terms
Govacha reserves the right to modify these Terms at any time. Continued use of the Service
constitutes acceptance of updated Terms.
